Terms of services

Dubai Electronic Security Center (DESC) manages and operates the first cyber security facility in Dubai that provides cyber security training, research, testing and assessment of cyber security to both public and private sector clients, including a cyber-security platform that individuals can utilize for training, research and educational purposes (the Cyber Node). This initiative is one of the pillars of the Dubai Cyber Innovation Park.

Bookings and registrations for courses, conferences, training, scenarios and webinars offered by or through the Cyber Node (each a Course) may be made online via the Dubai Cyber Innovation Park website at www.DCIPark.gov.ae (the Website) and are subject to these terms and conditions (these Terms of Services). These Terms of Services should be read together with the Website’s terms of use at ( www.DCIPark.gov.ae) and privacy policy at ( www.DCIPark.gov.ae). In the event of any inconsistency or conflict between the Website’s terms of use or privacy policy and these Terms of Services, the Website’s terms of use or privacy policy (as applicable) shall prevail over these Terms of Services to the extent of such conflict or inconsistency.

In these Terms of Services, any individual who books, registers, subscribes, applies, participates or attends any Course shall be referred to as a Participant, and if it is an organisation, company or any other entity, it shall be referred to as an Entity.

1-  COURSE BOOKING PROCEDURE

 Scheduled Courses

(a)  When a Participant registers for a Course via the Website, the Participant is offering to enroll onto and purchase that Course on these Terms of Services.

(b)  To register for a Course, the Participant will be required to provide certain details regarding the Participant, following which the Participant shall proceed to select the payment method for the fee for the Course (including any early bird discounts or late registration fees) (the Course Fee). The Participant shall be fully responsible to ensure that the Participant fulfils the relevant pre-requisites for a Course. The registration for a Course will be subject to acceptance by DESC of the offer to purchase in accordance with Clause 1(c) below.

(c)  A registration is not complete, and a legally binding agreement shall not come into existence until DESC has accepted the Participant’s offer to register for a Course by: (i) DESC sending a separate registration acceptance confirmation email to the Participant’s valid email address provided during registration; and (ii) DESC receiving full payment for the Course Fee in cleared funds in accordance with Clause ‎2 DESC reserves the right to decline or cancel a Participant’s registration, or any part of a Participant’s registration for a Course, without providing any reason.

Unscheduled Courses

(d)  If a Participant wishes to request for an unscheduled, bespoke, “on-demand” Course, the Participant may submit a request to DESC for such unscheduled Course via the Website. DESC, in its sole discretion, shall determine whether or not it will provide such unscheduled Course. If DESC agrees to provide such unscheduled Course, DESC may at its sole discretion decides to offer the unscheduled Course to the public by making it available for registration on the Website and the Participant may register through the same. The terms and conditions applicable to Courses under these Terms of Services shall similarly apply to any such unscheduled Course booked by a Participant.

(e)  If an Entity wishes to request for an unscheduled, bespoke, “on-demand” Course, the Entity may submit a request to DESC for such unscheduled Course via the Website. DESC, in its sole discretion, shall determine whether or not it will provide such unscheduled Course. If DESC agrees to provide such unscheduled Course, DESC may at its sole discretion decides to offer the unscheduled Course to the public by making it available for registration on the Website (and the Entity may proceed to have each of its personnel or invitees to individually register and make payment through the same as a Participant) or, at a special request of the Entity and subject to DESC accepting the request to conduct a closed session of the unscheduled Course specifically for the Entity’s personnel and its invitees only, DESC shall notify the Entity by email of the registration process for such unscheduled Course, including any additional terms and conditions and the instructions for payment of the relevant Course Fee. Subject to the foregoing, the terms and conditions applicable to Courses under these Terms of Services shall similarly apply to the unscheduled Course booked by an Entity.

Acceptance of Terms of Services

(f)  Each Participant registering for and/or participating in a scheduled or unscheduled Course, either individually or via an Entity, represents and warrants that: (i) he/she is of legal age and capacity; and (ii) he/she has read and understood these Terms of Services (including any additional terms and conditions imposed by DESC, if any) and they will constitute a valid and legally binding agreement of the Participant.

(g)  Each Entity registering for an unscheduled Course represents and warrants that: (i) it has been duly incorporated or established and is validly existing under the laws of the jurisdiction of its incorporation or establishment; and (ii) it has read, understood and has been duly authorized to accept these Terms of Services (including any additional terms and conditions imposed by DESC, if any), which will constitute a valid and legally binding agreement of the Entity. The Entity further undertakes to (i) ensure that each of its personnel and invitees who will be participating in the unscheduled Course has read, understood and shall fully comply with these Terms of Services (including any additional terms and conditions imposed by DESC, if any); (ii) be responsible and liable for acts/omissions of such Participants and any non-compliance by such Participants of these Terms of Services (including any additional terms and conditions imposed by DESC, if any); and (iii) provide DESC with the names and contact details of each of the Participants as may be requested by DESC. DESC reserves the right to require the Entity to substitute any proposed Participant and/or any agreed Participant with such other personnel or invitee of the Entity as DESC may reasonably deem necessary.

2-  PAYMENT TERMS

(a)  The applicable Course Fees will be displayed on the Website (for standard fees only) and/or shall be available from DESC upon written request and are quoted in United Arab Emirates Dirhams (AED), exclusive of value added tax (VAT).

(b)  Payment by a Participant for any Course Fee, including VAT, may be made by either credit or debit card or bank transfer via the Website’s payment gateway. For such payments made on the Website’s payment gateway by credit or debit card, DESC will debit the relevant amount, including VAT, from the credit card or debit card provided by the Participant. Credit or debit card details are collected over a secure link and an authorized amount verification is taken immediately.

(c)  Payment by an Entity for the Course Fee for any unscheduled Course, including VAT, shall be made via bank transfer. Following the email confirmation sent by DESC to the Entity, DESC shall issue a quotation for the applicable Course Fee for any unscheduled course, plus any VAT payable thereon, following which the Entity shall raise a purchase order. Upon receipt of the purchase order, DESC shall issue an invoice for the relevant Course Fee, plus any VAT payable thereon, with the relevant instructions for payment.

(d)  The due date for payment of the Course Fee shall be at least 1 week prior to the relevant start date of the Course. Payment will be due immediately if registration is made less than 5 days before the relevant start date of the Course.

(e)  Without prejudice to DESC’s rights and remedies under these Terms of Services, any other agreement and applicable laws, if any Course Fee is not paid in cleared funds on or before the relevant due date, DESC reserves the right without liability, forthwith and at DESC’s sole discretion, to suspend, postpone or cancel the provision of the relevant Course to the Participant and/or Entity (as applicable).

3-  TRANSFERS AND CANCELLATIONS

(a)  A Participant may cancel his/her participation in a scheduled Course at least 5 days prior to the relevant Course start date at least 3 days prior to the relevant Cyber Node Subscription start date, by notifying DESC in writing at [info@dcipark.gov.ae]  or (+971 45 88 90 00). Except for cancellation made in accordance with this Clause 3(a), DESC will not refund the relevant Course Fees which have been paid to DESC.

(b)  Where an Entity has requested for, and DESC has agreed to conduct, a closed session of an unscheduled Course specifically for the Entity’s personnel and its invitees only, the Entity is not permitted to cancel the unscheduled Course. Any Course Fee for such unscheduled Course shall remain payable, and if paid, is non-refundable. If a Participant is unable to attend an unscheduled Course booked by an Entity, the Entity may transfer the seat to a substitute Participant at least 5 days prior to the commencement of the unscheduled Course by notifying DESC in writing at the DESC Contact Details.

(c)  DESC reserves the right to re-schedule, postpone, cancel or amend a Course when it deems necessary to do so. In the event of any cancellation by DESC, DESC will issue a refund of the relevant Course Fee on a pro-rata basis.

(d)  Unless otherwise provided in these Terms of Services or any relevant agreement, all fees are payable in full and shall be non-refundable.

4-  CYBER Node CONTENT

(a)  Please see the description of the Courses on the Website and for details of the content of the available scheduled Courses.

(b)  DESC shall provide such presenters to present the Courses as it, in its sole discretion, deems qualified and DESC shall be entitled at any time to substitute any presenter with any other person who, in DESC’s sole discretion, it deems suitably qualified to present the relevant Course.

(c)  The Courses and their associated materials are personal to each Participant and the Participant shall not transfer his/her rights to access any such materials or provide such materials or any copy thereof to any other person.

5-  Participation and Conduct

(a)  Each Participant, and each Entity shall procure that it and each of its Participants, represents, warrants and undertakes to DESC that:

  • all information concerning the Participant which has been disclosed to DESC is to the best of the Participant’s and/or the Entity’s knowledge and belief, is true and accurate;
  • the Participants shall comply with all relevant legislation and applicable codes of practice and other recommendations, instructions and any code of conduct issued by DESC from time to time;
  • the Participant is not subject to any contractual or other restriction imposed on him/her which may prevent or materially impede the Participant from meeting his/her obligations in respect of the relevant Course;
  • the Participant shall conduct himself/herself in an open and collaborative manner consistent with the aims of the Cyber Node and shall share information, ideas and learnings with DESC in an open and transparent manner;
  • the Participant shall at all times behave in a professional and respectful manner towards DESC, the Cyber Node, all employees and personnel of DESC and the Government of Dubai, and all other participants of a Course and shall comply with the laws and respectfully observe the culture and ethics of the United Arab Emirates; and
  • the Participant shall not knowingly or negligently take or do any action or permit or suffer any omission that would be detrimental to the reputation or goodwill associated with DESC or the Government of Dubai or create unfavorable publicity or bring disrepute to Dubai, DESC, the Courses, the Dubai Cyber Innovation Park or to the Government of Dubai at any time.

(b)  In relation to classroom Courses: (i) Participants must comply with all health and safety rules and regulations and any other reasonable security requirements that apply at DESC’s premises; (ii) Participants must only use DESC’s premises for the purposes of participating in Courses; (iii) Participants shall not misuse, abuse or otherwise do any unauthorised act with respect to any materials, furnishings, equipment or hardware of DESC or at DESC’s premises; and (iv) the safety of the Participants’ personal possessions are their sole responsibility and DESC accepts no responsibility and/or liability for anything that is lost or stolen from its premises. Participants are advised during a classroom Course to keep their valuables with themselves at all times.

(c)  In relation to the online Courses: (i) the Participants will be notified by DESC when they have access to the online Course and for the length of time such access will be made available to the Participants; and (ii) the receipt of an online Course is personal to each Participant and the Participant may not transfer his/her rights to access the online Course, or provide any login details for the online Course to any other person.

(d)  Any attempt by a Participant to undermine the proper conduct of a Course or any violation or non-compliance with any of the representation, warranties and undertakings set out in paragraphs 5(a) to 5(c) above shall constitute a material breach of these Terms of Services. DESC may at its reasonable discretion and without liability or an obligation to refund Course Fees refuse to provide or permit access to any Course to any Participant and may refuse to admit to, and may remove from any of DESC’s premises, any Participant whose participation in any Course would, in DESC’s reasonable opinion, be undesirable or whose behaviour DESC considers is or may be in breach of these Terms of Services.

(e)  The Entity and/or the Participant (as applicable) shall be liable without limitation to DESC for any loss, damages or costs including any damage to DESC’s facilities, furnishings, premises and equipment, caused by any breach by the Participant of these Terms of Services or any acts or omissions, including negligence or wilful misconduct of the Participant. If any such violation or non-compliance is a violation of criminal and civil laws, DESC reserves the right to take legal action against the Entity or any of the Participants, including, without limitation, reporting to the relevant authority or law enforcement agency for any illegal or unlawful activities.

REFUND REQUEST

6-  Confidentiality and Publicity 

(a)  Participants shall keep all information and materials relating to the Course and DESC (the Confidential Information) in strictest confidence and shall: (i) not use the Confidential Information for any purpose other than the fulfilment of its obligations in relation to the Course; (ii) not disclose the Confidential Information to any third party or otherwise publish or make available to the public (including on social media platforms, blogs, vlogs and other means of self-publication) without the prior written consent of DESC; and (iii) protect and treat all Confidential Information with the same degree of care as it uses to protect its own confidential information and not less than reasonable care.

(b)  All materials and information (in whatever form) provided by DESC to a Participant or Entity in connection with a Course may not be copied, distributed or made available to any third parties. Participants and Entities shall not use such material and information for any reason which is not connected to the specific Course provided by DESC to the Participant.

(c)  A Participant is, subject to Clause 4(c), entitled to retain for his/her personal use the Course materials (as appropriate) that are provided to him/her for this purpose only. Any other materials relating to and/or Confidential Information (in whatever format) provided to an Entity or a Participant shall be returned to DESC on the earlier of the completion of the Course or upon request by DESC. Entities and Participants shall not copy or otherwise reproduce any materials (including Course materials) provided by DESC without DESC’s prior written consent.

(d)  Participants shall not issue in any media worldwide or otherwise publish or make available to the public by any means any material, images, marketing, publicity, press release, public announcement or statement referring to or associating themselves and/or the Entities with the Courses, the Dubai Cyber Innovation Park, DESC or the Government of Dubai without the prior written agreement of DESC. Notwithstanding the foregoing, a Participant shall be entitled to refer to services of the Cyber Node, including any Course taken or utilized by the Participant via the Participant’s personal social media account and/or blog provided always that such reference shall in no way be disparaging or reduce or diminish the reputation, image and prestige of the Courses, the Dubai Cyber Innovation Park, DESC or the Government of Dubai.

(e)  Each Participant agrees to participate in and co-operate with promotional activities relating to the Cyber Node or the Dubai Cyber Innovation Park that may be initiated and/or organized by DESC.

(f)  DESC may acknowledge any Entity’s and/or Participant’s involvement with the Cyber Node or the Dubai Cyber Innovation Park as appropriate without prior notice. The enrolment and/or participation of a Participant in a Course shall constitute the Participant’s deemed consent and acceptance to DESC or its appointed representatives publishing details of the Courses and photographs and video footage of the Participants and making further press or other public announcements, or release in any form any marketing or other publicity or releases, whether in written or oral form, relating to the Cyber Node, its Participants, results or data.

7-  Intellectual property

(a)  The Participants undertake: (i) not to do or permit anything which may adversely affect any intellectual property rights (including copyright and authors rights, database rights and rights in patents, designs, images, inventions, utility models, trade names, trade marks, service marks, trade dress or get-up, goodwill, domain names, know-how, trade secrets and all other intellectual property rights, registered or unregistered, anywhere in the world) (Intellectual Property Rights) of DESC or its affiliates, partners and providers or assist or allow others to do so; and (ii) not to use any Intellectual Property Rights of the Government of Dubai (including but not limited to the Intellectual Property Rights of DESC) without DESC’s prior written consent.

(b)  Any Intellectual Property Rights provided or made available to an Entity or Participant by DESC for use in connection with a Course (including without limitation the names and logos of DESC and its affiliates, partners and providers and the names and logos of the Cyber Node and the Dubai Cyber Innovation Park) shall be vested and owned by DESC or its rightful owners/licensors and shall only be used strictly in accordance with DESC’s instructions.

8-  BREACH AND TERMINATION

(a)  If: (i) DESC has any reason to believe that there has been a breach of these Terms of Services, (ii) the Entity or a Participant is involved in any situation or activity which could expose the Courses the Cyber Node, the Dubai Cyber Innovation Park, DESC or the Government of Dubai to disrepute or reflects unfavourably on the Courses, the Cyber Node, the Dubai Cyber Innovation Park, DESC or the Government of Dubai’s reputation (including without limitation any misuse of the Cyber Node or DESC’s premises other than for the intended or permitted purpose); or (iii) the Participant does not behave in a respectful and professional manner towards DESC, the Government of Dubai, any employees or personnel of DESC, its affiliates, partners and providers, or the Government of Dubai, or any of the other Participants, then DESC, at its sole discretion, reserves the right to immediately exclude the Participant or the relevant Entity from further attending or participating in a Course or any other services or activities organised by DESC and/or the Government of Dubai and to seek any other remedy available to DESC in contract or at law.

(b)  DESC shall not make any refund of Course Fees or be liable for any direct or indirect losses, damages or costs of any Entity and/or any Participant arising out of any exclusion under Paragraph 8(a).

(c)  The Entity and the Participant shall indemnify and hold harmless DESC and DESC’s affiliates, partners and providers and their respective personnel (the Indemnified Persons) from all claims, damages, liabilities, losses (including any loss of, or damage to, any property of, or injury to or death of, any person) and expenses of any kind whatsoever incurred or suffered by the Indemnified Persons arising from or in connection with any error or wilful or negligent act or omission by the Entity or the Participant, and/or any breach by the Entity or the Participant of these Terms of Services, any agreement or applicable laws.

9-  General

(a)  Nothing in these Terms of Services shall constitute or be deemed to constitute a relationship of an agency, partnership or joint venture between DESC, any Entity and/or a Participant (as applicable).

(b)  DESC makes no representations, warranties or guarantees, whether express or implied, as to the quality of the Courses, or that their content is accurate, complete, fit for purpose or up to date.

(c)  To the fullest extent permitted by law, DESC, its affiliates, partners and providers shall not be liable to any Entity or Participant for any losses, claims, damages, fees, liabilities, costs or expenses suffered or incurred by any Entity or Participant arising under or in connection with the use of, or inability to use the services of the Cyber Node or use or reliance on any content of the Courses or for any other reason.

(d)  If any term of these Terms of Services is or becomes illegal, invalid or unenforceable, that shall not affect the legality, validity or enforceability of any other term of these Terms of Services.

(e)  Any expiry or termination of the Entity’s or Participant’s participation in and/or any cancellation of any Course shall not affect any accrued rights or liabilities of either party. Paragraphs ‎7, ‎8, ‎9, ‎10 and ‎11 shall remain in full force and effect notwithstanding any termination or expiry of these Terms of Services.

(f)  These Terms of Services and the relationship between DESC and the Entity and/or the Participant (as applicable) shall be governed by the laws of the Emirate of Dubai and the applicable federal laws of the United Arab Emirates. Any dispute shall be referred to and finally resolved by the Dubai Courts (as established by Law No. 3 of 1992 and referred to in Law No. 13 of 2016) who shall have exclusive jurisdiction to settle the dispute. The Entity and/or the Participant (as applicable) hereby unconditionally and irrevocably renounces any right it may have to challenge in any other jurisdiction or arbitral system the decision of the Dubai Courts.
